Welcome to Chask, Inc. ("Chask", "Service", "we", "our", or "us"). These Terms of Service ("Terms") govern your access to and use of the Service. By creating an account, accessing, or using the Service, you ("you" or "User") agree to be bound by these Terms. If you do not agree, you may not use the Service.

1. Eligibility

You must be at least 18 years of age and capable of entering into a legally binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements.

2. Accounts

  • You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
  • You must notify us immediately if you suspect unauthorized use of your account.
  • We may suspend or terminate your account at any time, with or without cause, with or without notice.

3. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of applicable law.
  • Transmit malware, spam, or harmful content.
  • Attempt to disrupt or gain unauthorized access to the Service or its related systems.
  • Use the Service in a manner that infringes the rights of others.

We reserve the right to investigate violations and take appropriate action, including suspension or termination of your account.

4. User Content and Data

  • Ownership: You retain ownership of content, data, or materials you submit through the Service ("User Content").
  • License to Us: By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, transferable license to use, process, store, transmit, and display such content for the purpose of operating and improving the Service.
  • Third-Party Processing: You acknowledge and agree that User Content may be transmitted to third-party large language model (LLM) inference providers and other subprocessors. These providers may impose their own licensing terms and restrictions, and you are solely responsible for ensuring compliance.
  • Responsibility: You represent that you have the rights and permissions necessary to submit User Content and to grant the rights described above.

5. AI-Generated Content and Suggestions

By using Chask's AI-powered features, you acknowledge and agree to the following:

  • Goal Breakdowns & Task Suggestions: AI-generated breakdowns, milestones, and task suggestions are provided for guidance only and may not be accurate, complete, or suitable for your specific situation.
  • No Professional Advice: AI suggestions do not constitute professional, financial, medical, legal, or other expert advice. Always consult qualified professionals for important decisions.
  • User Responsibility: You are solely responsible for reviewing, modifying, and acting upon any AI-generated content. We make no warranties about the accuracy or appropriateness of AI suggestions.
  • Continuous Improvement: AI features may change, improve, or be modified without notice as we refine our algorithms.

6. ⚠️ ALPHA SOFTWARE DISCLAIMER AND EXPERIMENTAL STATUS

WARNING: This Service is experimental alpha-quality software provided "AS-IS" for testing and evaluation purposes only.

By using this Service, you explicitly acknowledge and agree that:

Data Loss and Corruption

  • Your data may be permanently lost, corrupted, or deleted at any time without warning or notice
  • We provide no data recovery services and cannot restore lost data
  • You must not store any important, sensitive, or irreplaceable data in this system
  • Regular backups of your data are your sole responsibility

System Reliability and Performance

  • The Service may be unavailable, crash, malfunction, or behave unexpectedly at any time
  • Features may be broken, incomplete, or removed without notice
  • System performance may be slow, unreliable, or inconsistent
  • Security vulnerabilities may exist and data breaches may occur

No Warranties or Guarantees

  • We make absolutely no warranties regarding functionality, security, availability, or data integrity
  • We provide no service level agreements or uptime guarantees
  • We have no obligation to maintain, support, or continue the Service
  • The Service may be discontinued permanently at any time without notice

User Responsibility and Risk Assumption

  • You use this Service entirely at your own risk
  • You assume full responsibility for any consequences of using this experimental software
  • You agree to hold us harmless from any damages, losses, or issues arising from your use
  • This Service is not suitable for production use or critical business operations

7. Subscription Plans, Fees, and Payment

a) Free Tier

  • Chask offers a free tier with limited features and usage quotas
  • Free tier features and limits may change at any time without notice
  • No payment information required for free tier access

b) Paid Subscriptions

  • Paid plans offer expanded features, higher limits, and premium capabilities
  • Subscription fees are billed in advance on a monthly or annual basis
  • All fees are quoted in USD unless otherwise specified

c) Billing and Renewal

  • Subscriptions automatically renew unless cancelled before the renewal date
  • You authorize us to charge your payment method for recurring fees
  • Failed payments may result in service suspension or termination

d) Price Changes

  • We may change subscription prices with at least 30 days notice
  • Price changes take effect at your next billing cycle after notice
  • Continued use after price change constitutes acceptance

e) Cancellation and Refunds

  • You may cancel your subscription at any time through account settings
  • Cancellation takes effect at the end of current billing period
  • No prorated refunds for partial billing periods
  • Refunds for annual plans may be considered on a case-by-case basis within 30 days of purchase

8. Privacy

Your use of the Service is also subject to our Privacy Policy, which explains how we collect, use, and share information about you.

9. Termination

We may suspend or terminate your account or access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service will cease immediately.

Certain sections of these Terms will survive termination, including but not limited to: Content and Data, Disclaimers, Limitation of Liability, Indemnification, and Governing Law.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be error-free, uninterrupted, secure, or free of harmful components.

11. Limitation of Liability

To the maximum extent permitted by law:

  • We shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including without limitation damages for loss of profits, data, use, goodwill, or other intangible losses.
  • Our total liability for any claim related to the Service will not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) USD $100.

12. Indemnification

You agree to indemnify, defend, and hold harmless Chask, Inc., its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of the Service;
  • Your violation of these Terms;
  • Your violation of any rights of another party, including intellectual property rights.

13. Changes to the Terms

We may revise these Terms at any time by posting an updated version on the Service. Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.

14. Governing Law and Dispute Resolution

a) Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

b) Binding Arbitration Agreement

PLEASE READ THIS CAREFULLY - IT AFFECTS YOUR LEGAL RIGHTS.

You and Chask, Inc. agree to resolve any disputes through binding arbitration rather than in court, except for:

  • Claims in small claims court (if eligible)
  • Intellectual property disputes

Arbitration will be conducted by JAMS under its Streamlined Arbitration Rules. Arbitration will take place in Wilmington, Delaware, or remotely via video conference at your election.

c) Class Action Waiver

YOU AND CHASK, INC. AGREE TO BRING DISPUTES ONLY IN YOUR INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

d) Opt-Out Right

You may opt out of arbitration by sending written notice to legal@chask.ai within 30 days of first accepting these Terms. Include your name, email, and a statement that you opt out of arbitration.

e) Exceptions

Either party may seek injunctive relief in any court of competent jurisdiction for intellectual property infringement or unauthorized access to the Service.

15. International Users

a) European Union Users

If you are located in the European Union, European Economic Area, or United Kingdom:

  • You have additional rights under the General Data Protection Regulation (GDPR) as described in our Privacy Policy
  • Nothing in these Terms limits your statutory consumer rights under applicable EU law
  • The arbitration clause above does not apply to mandatory consumer protections under EU law
  • You may bring disputes in courts of your country of residence

b) Data Transfers

By using the Service, you consent to the transfer of your data to the United States and other countries where we or our service providers operate. We implement appropriate safeguards for international data transfers as described in our Privacy Policy.

c) Local Law Compliance

You are responsible for compliance with all local laws applicable to your use of the Service.

16. Miscellaneous

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
  • No Waiver: Our failure to enforce any right or provision shall not be deemed a waiver of such right or provision.
  • Assignment: You may not assign or transfer your rights under these Terms without our prior consent.
